QmeLocal User Terms

United States and International General User Agreement

These User Terms ("Terms") are a binding agreement between you and MyQme Inc. d/b/a Qme Spotlight Ecosystem governing your access to and use of QmeLocal. By creating an account, clicking to accept these Terms, or using the Services after these Terms are presented to you, you agree to them. QmeLocal is the SaaS product and service brand; MyQme Inc. d/b/a Qme Spotlight Ecosystem is the legal provider. If you use QmeLocal on behalf of a business or organization, the QmeLocal Business & Subscription Terms, an Order Form, or a signed Master Services Agreement may also apply and will control to the extent stated there.

Our Privacy Notice explains how we collect and use personal information. The Privacy Notice is an important notice but does not itself form part of these Terms unless applicable law requires otherwise.

1. Who May Use QmeLocal

You may use QmeLocal only if you can form a binding contract with Qme and are not prohibited from receiving the Services under applicable law. Unless Qme expressly offers a supervised youth or education service under separate terms, the general QmeLocal Services are intended for users age 18 or older.

  • If you use the Services for or on behalf of an organization, you represent that you are authorized to bind that organization to the applicable terms.
  • You must provide accurate account information, protect your credentials, and promptly update information that becomes inaccurate.
  • You may not create an account for another person without authority or impersonate another person or organization.
  • Qme may require email, phone, identity, business, location, address, or other verification for particular features. Verification means only that specified checks were completed; it is not an endorsement or guarantee.

2. The Services

QmeLocal may provide professional and business profiles, communities, content publishing, events, jobs and workforce tools, marketplaces, resource listings, CRM and intake features, communications, digital mail features, booking, analytics, AI tools and agents, integrations, and other services that evolve over time. Features may vary by account, portal, plan, location, technical dependency, or legal requirement.

Qme may update, improve, replace, limit, or discontinue features. Beta, preview, pilot, or early-access features may change or end at any time and may be subject to additional terms.

3. Privacy

The QmeLocal Privacy Notice describes Qme’s privacy practices for data Qme controls. Where Qme processes personal data on behalf of a business customer or portal owner, that organization may control the data and its own privacy notice and contract may also apply. International transfers may occur as described in the Privacy Notice and applicable customer agreements.

4. Your Content and Public Profile Information

You retain ownership of content you submit, post, upload, transmit, or display ("User Content"). You are responsible for User Content and represent that you have all rights, permissions, consents, and lawful authority needed to provide it.

You grant Qme a worldwide, non-exclusive, royalty-free, sublicensable license to host, reproduce, transmit, format, adapt, display, distribute, and otherwise process User Content as reasonably necessary to provide, secure, support, improve, and operate the Services. For User Content that you intentionally make public, you also authorize Qme to display, distribute, index, and promote that public content and the QmeLocal service through which it is published, subject to your settings and applicable law. Qme does not owe compensation for these platform-operation and public-display rights.

  • Public profile or post information may be visible to other users or the public and may be indexed or shared consistent with your settings.
  • Deleting content may not immediately remove copies retained for backups, legal compliance, fraud prevention, disputes, safety, or records maintained by other users or portal owners.
  • Qme may remove or restrict content that violates these Terms, the Acceptable Use & Safety Policy, Community Guidelines, or applicable law.

5. Qme Intellectual Property

QmeLocal and the technology underlying it—including software, source and object code, architecture, APIs, workflows, interfaces, designs, databases, analytics logic, AI orchestration, system prompts, agent frameworks, templates, documentation, trademarks, and improvements—are owned by or licensed to Qme. These Terms provide only a limited, revocable, non-transferable right to use the Services for their intended purpose and do not transfer ownership of Qme technology.

6. Artificial Intelligence and Automated Systems

QmeLocal may use artificial intelligence, machine learning, automated systems, and third-party AI providers, including providers such as OpenAI and Anthropic, to support content creation, recommendations, analytics, search, matching, voice, automation, support, and other features. Qme may change providers or models for quality, cost, availability, safety, security, or functionality.

  • AI and automated outputs may be incomplete, inaccurate, biased, outdated, non-unique, or unsuitable for your intended use.
  • You remain responsible for reviewing outputs and for decisions, publications, transactions, or actions based on them.
  • AI output does not constitute legal, medical, financial, employment, tax, or other professional advice.
  • Do not use AI output as the sole basis for employment, housing, credit, insurance, healthcare, education, public-benefit, or similarly significant decisions unless Qme expressly offers a compliant workflow and applicable law permits it.
  • Do not submit sensitive, regulated, confidential, or third-party information to an AI feature unless the feature is approved for that data and you have authority to provide it.

7. Marketplace, Jobs, Resources and Third-Party Opportunities

QmeLocal may help users discover businesses, vendors, jobs, training, grants, events, programs, benefits, products, or other opportunities. Unless Qme expressly states otherwise for a particular transaction, Qme is not the employer, seller, service provider, lender, grantor, insurer, or contracting party for third-party opportunities and does not guarantee their accuracy, availability, quality, legality, suitability, or outcome.

8. Acceptable Use and Community Rules

You must comply with these Terms, the QmeLocal Acceptable Use & Safety Policy, Community Guidelines, Service-Specific Terms, and applicable law. You may not access non-public systems without authorization, scrape or reverse engineer the Services except where law prohibits that restriction, interfere with platform operations, introduce malicious code, misrepresent identity or communications, bypass safety or metering controls, or use QmeLocal for unlawful, fraudulent, abusive, infringing, deceptive, or harmful activity.

9. Communications and Notifications

Qme may send service-related notices through QmeLocal, email, SMS, push notification, voice, or other configured channels. Marketing communications are subject to your preferences and applicable law. Message and data rates may apply. You may manage eligible preferences in your account. Certain transactional, security, legal, or account notices may still be sent where necessary to operate the Services or satisfy legal obligations.

10. Paid Features, Billing and Refunds

Certain Services require payment. Paid consumer or self-service subscriptions are also governed by the Subscription & Billing Terms presented at purchase. Unless the purchase terms state otherwise, subscriptions renew automatically until canceled, fees are non-refundable except where required by law or expressly stated, and Qme may suspend paid features for failed or overdue payment. You are responsible for applicable taxes and any currency-conversion or financial-institution fees.

11. Advertising and Sponsored Content

QmeLocal may display advertising, sponsored content, promoted listings, or paid placements. Sponsored content should be identified where required by law or Qme policy. If you purchase advertising or promotional placement, the applicable Service-Specific Terms, Business Terms, Order Form, or advertising terms shown at purchase will apply. Qme may display advertising in connection with the Services without compensation to you unless a separate written agreement states otherwise.

12. Third-Party Services, Integrations and APIs

The Services may integrate with third-party hosting, AI, payment, communications, analytics, calendar, identity, advertising, data, or other services. Third-party services are governed by their own terms and policies. Qme is not responsible for third-party acts, availability, security, data handling, or performance except to the extent Qme expressly assumes responsibility in a signed agreement or applicable law requires otherwise.

13. Suspension and Termination

You may stop using QmeLocal and may close or deactivate your account through available account controls or by contacting Qme. Qme may limit, suspend, or terminate Services where reasonably necessary for security, legal compliance, sanctions, nonpayment, inactivity, material policy violations, fraud, harmful conduct, provider restrictions, or protection of QmeLocal or other users. Where feasible and appropriate, Qme will provide notice and a reasonable opportunity to cure.

14. Data Retention and Account Deletion

Following deletion or termination, Qme may retain information as reasonably necessary for legal compliance, security, fraud prevention, dispute resolution, financial records, backups, and enforcement. Aggregated or deidentified data may be retained where permitted by law. Qme is not required to preserve or return User Content after account closure except where applicable law or a separate signed contract requires otherwise.

15. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QMELOCAL AND THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” QME DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. QME DOES NOT GUARANTEE UPTIME, ACCURACY, RESULTS, DELIVERY, AVAILABILITY, AI OUTPUT, THIRD-PARTY SERVICES, USER CONTENT, OR ANY BUSINESS OR MISSION OUTCOME, EXCEPT FOR EXPRESS COMMITMENTS IN A SIGNED ENTERPRISE AGREEMENT.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QME AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR BUSINESS OPPORTUNITY. QME’S AGGREGATE LIABILITY ARISING FROM THE GENERAL USER SERVICES WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID QME FOR THE APPLICABLE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These limits do not apply where prohibited by law or to liability that cannot lawfully be limited.

17. Indemnification

To the extent permitted by applicable law, if you use QmeLocal on behalf of a business or in a commercial capacity, you agree to defend, indemnify, and hold harmless Qme and its affiliates, officers, directors, employees, agents, partners, licensors, and service providers from third-party claims, losses, liabilities, costs, and reasonable attorneys’ fees arising from your User Content, your unlawful use of the Services, your violation of these Terms or applicable law, or your infringement or misappropriation of another person’s rights. Consumer indemnification obligations do not apply to the extent prohibited by mandatory law.

18. Dispute Resolution, Arbitration and Class-Action Waiver

Before filing a formal claim, you and Qme agree to attempt in good faith to resolve the dispute for at least 30 days after written notice. Notices to Qme should be sent to [email protected]. Except for eligible small-claims matters, requests for temporary or injunctive relief, or claims that cannot lawfully be arbitrated, disputes will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable Consumer Arbitration Rules, unless another set of rules is legally required.

YOU AND QME WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTIONS TO THE EXTENT PERMITTED BY LAW. You may opt out of this arbitration agreement by sending written notice to Qme within 30 days after first accepting these Terms. The notice must identify your account and clearly state that you are opting out of arbitration. An arbitration opt-out does not opt you out of the rest of these Terms.

19. Governing Law; International Use; Export and Sanctions

These Terms are governed by Delaware law, without regard to conflict-of-law principles, except to the extent mandatory local consumer law provides rights that cannot be waived. You are responsible for compliance with laws applicable to your use of the Services in your jurisdiction. You may not use, export, re-export, or provide the Services in violation of applicable U.S. export-control or economic-sanctions laws, including restrictions administered by the U.S. Treasury Department’s Office of Foreign Assets Control (OFAC). Qme may publish jurisdiction-specific terms or addenda where required.

20. Changes to These Terms

Qme may update these Terms as the Services, laws, providers, or business practices change. Material changes will be communicated by reasonable means, such as an in-product notice, email, or updated effective date. Where applicable law requires advance notice or affirmative consent, Qme will provide it before the change applies.

21. General Terms

Force Majeure. Qme is not liable for delay or failure caused by events beyond its reasonable control, including natural disasters, war, terrorism, governmental actions, labor disruptions, widespread internet or utility failures, cyberattacks not caused by Qme’s breach, or material third-party infrastructure outages.

Assignment and Change of Control. You may not assign these Terms without Qme’s consent. Qme may assign these Terms in connection with an affiliate reorganization, merger, acquisition, financing, or sale of relevant assets.

Relationship. These Terms do not create a partnership, joint venture, fiduciary, employment, franchise, or agency relationship.

Severability and Waiver. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder will stay effective. Failure to enforce a provision is not a waiver.

Entire Agreement. These Terms, together with applicable Service-Specific Terms, the Acceptable Use & Safety Policy, Community Guidelines, Subscription & Billing Terms for paid self-service
